Terms and Conditions


Application of conditions:
All goods sold by Base Formula Ltd ("we”, "us”, "the company”) are sold under these conditions unless otherwise clearly stated in writing under a separate contract. These conditions will apply to the exclusion of any terms or conditions put forward by the customer. No conduct by the company will be deemed to constitute the acceptance of any terms and conditions other than these conditions.

Price lists and sales literature:
Prices given in our price lists or other sales literature are for information purposes only, and do not constitute an offer. No contract will come into existence until the customer’s order (however given) is accepted. Invoices will be raised for prices current at time of order.

Carriage:
Except as otherwise stated in any quotation or price list of the company, or as otherwise agreed in writing, all prices are given by the company on an ex-works basis and exclude transport.

Delivery:
Any dates quoted for delivery are approximate only. We will use reasonable endeavours to effect delivery on agreed dates based on information available at time of quoting. We accept no responsibility for any loss resulting from delays to delivery. Please note that we do not offer a priority Next Day service for label artwork or printing.

Payment:
For non-account customers payment is required in cleared funds before despatch. For account customers payment is due within 30 days of receipt of order. Account application forms will be sent on request.

Ownership of goods:
Goods remain the property of Base Formula until paid for in full. Risk passes on delivery of the goods. We may sue for the price of the goods notwithstanding that ownership has not passed.

Cancellations:
Should you wish to cancel your order please email us at sales@baseformula.com or call our Customer Service Team on 01664 501110. As long as your order has not been dispatched we will issue a full refund to your original payment card.

Damaged or Faulty Goods: 
If you receive a damaged parcel, short order or defective goods please contact our Customer Service Team on 01664 501110 to claim a full refund or replacement. Damaged or defective goods must be returned within 14 days of receipt to Base Formula Ltd, Holistic House, 38-40 Pate Road, Leicester Road Industrial Estate, Melton Mowbray, Leicestershire, LE13 0RG. Upon receipt of the returned goods we will issue a full refund, including postage costs, to your original payment card.

Returns & Refunds:
You may exchange or have a refund on all goods, providing they are sealed and unopened and in a re-saleable condition. Please contact our Customer Service Team first on 01664 501110 to arrange a return. Unwanted items should be returned to the above address within 7 days of receipt. Please include a reason for return and a contact telephone number. Once we have confirmed the returned goods are in a re-saleable condition we will issue a refund to your original payment card. Cost of postage will not be refunded.

Storage:
We will be under no liability for any defect in the goods arising from incorrect storage by the customer. As trade users we expect all customers to be aware of appropriate storage conditions for our products. Advice will be given on request.

Out of Stock & Seasonal Shortages:
While every effort is made to keep our complete range of products in stock, we do not accept any responsibility for loss resulting from any out of stock items.

Product suitability:
Our products are used for a wide variety of purposes. It is the responsibility of the customer to ensure the products are appropriately used. All representations, warranties, conditions or terms relating to fitness for purposes, are excluded to the fullest extent permitted by law and the company accepts no liability. Customers should satisfy themselves to the suitablity of products before purchase. We make no claims to any reputed therapeutic value of any of our products.

Force Majeure:
The company shall not be responsible for any loss to the customer resulting from delivery being affected by war, strikes, fire, changes of government policy, act of God or other circumstances beyond its control.

Consequential Loss:
In no event will the company be under any liability whatever to the customer for any loss of profit, business, contracts, revenues or anticipated savings, or for any indirect or consequential loss and/or expense (whatever the cause, including negligence) suffered by the customer.

Insolvency of customer:
If the customer fails to make payment when due or makes any arrangements with its creditors, becomes bankrupt or goes into liquidation (or the company reasonably apprehends that any of these events is about to occur) we may in our absolute discretion suspend all further deliveries of goods and/or terminate the contract, without liability on our part. If the goods have been delivered but not paid for, the price will become immediately due and payable.

Customer transactions:
Where the goods are sold under a consumer transaction (as defined by the Consumer Transactions (Restrictions on statements) order 1976) the statutory rights of the customer are not affected by these conditions.
